WHAT IS A SOLE PROPRIETORSHIP?
A sole proprietorship is a business owned and operated by a single individual — you. There is no legal distinction between you as the owner and your business as an entity. You take all the profits, bear all the responsibilities, and make all the decisions. It is the most common business structure in India, particularly among small traders, freelancers, consultants, and local service providers across Kerala.
Unlike a Private Limited Company or LLP, a sole proprietorship does not require registration with the Ministry of Corporate Affairs. There is no incorporation, no RoC filing, no DIN or DSC required. The business exists by virtue of the owner operating it — making it the fastest and lowest-cost way to start a legal business in India.
However, a proprietorship is not entirely without registration requirements. To operate legally, open a business bank account, claim MSME benefits, and comply with GST laws, you need a set of registrations in place. KSWIFT is Kerala's single-window clearance system for business licences and regulatory approvals, managed by the Kerala government. For a sole proprietor, KSWIFT registration provides a recognised business identity in Kerala — it is the equivalent of a trade licence or business permit for operating within the state.

GST Registration — Goods and Services Tax
GST registration is mandatory if your annual turnover exceeds ₹40 lakhs (goods) or ₹20 lakhs (services). However, many proprietors register voluntarily even below the threshold — to claim input tax credit, to appear credible to corporate clients, and to sell on e-commerce platforms where GST is mandatory regardless of turnover.

THE REGISTRATION PROCESS
Each registration has its own process.
Step 1 — Share Your Details
Share your PAN, Aadhaar, business name, business activity, and address with us on WhatsApp. We review and confirm what is needed for your specific business type and location.
Step 2 — Udyam Registration
We initiate Udyam registration on the Udyam portal. You provide your Aadhaar OTP when prompted. Udyam certificate is typically issued same day or next business day.
Step 3 — GST Application Filing (For applicable)
We prepare and file your GST registration application on the GST portal with all required documents. The application goes to a GST officer for verification.
Step 4 — KSWIFT Application
We register your business on the KSWIFT portal and file applications for the relevant licences based on your business activity and local body area.
Step 5 — GST Officer Verification
The GST officer may raise a query or request additional documents. We handle any clarifications and follow up until the GSTIN is issued.

AFTER REGISTRATION — WHAT COMES NEXT?
Once your proprietorship is registered, here are the next steps most clients take:
1. Open a business current account
Banks require your Udyam certificate, GSTIN, KSWIFT clearance, and Aadhaar/PAN to open a current account in the business name. We can guide you on which documents to carry.
2. Get a Digital Signature Certificate (DSC)
If you plan to file tenders, GST returns, or any MCA/government portal submissions, a Class 3 DSC is useful. Blackridge can arrange this as an add-on.
3. FSSAI Registration (if food business)
If your proprietorship involves food — manufacturing, trading, cloud kitchen, restaurant — you need an FSSAI registration. Blackridge handles this as a separate service.
4. GST Return Filing

5. Trademark Registration
